HITHOT Referral Program Terms

These HITHOT Referral Program Terms (“Terms”) forms a binding legal agreement (“Agreement”) between

SingleMind Infotech LLP or one of its affiliates (collectively such entities will be referred to as “HITHOT”, “we” or

“us”) and you (“Participant”), and sets forth the terms and conditions for Participant’s participation in the HITHOT Referral Program (“Referral Program”) available on the application owned or controlled by SingleMind Infotech LLP, including, without limitation, the HITHOT mobile application (“Platform”), our related websites, services, applications, products and content owned or controlled by us (collectively, the “Services”). These Terms are subject to, and shall also include, the Terms & Conditions and the Privacy Policy, as such terms may be amended from time to time in accordance with the terms therein. HITHOT t is the sole operator of this Referral Program.

PLEASE READ THESE TERMS CAREFULLY BEFORE PARTICIPATING IN THE REFERRAL PROGRAM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT PARTICIPATE IN THE REFERRAL PROGRAM.

By participating in the Referral Program, you agree to be bound by these Terms. You represent that you are over 18 years old or older, and you have the authority to enter into this agreement personally or on behalf of the legal entity you represent and to bind that legal entity to this agreement.

The parties agree in good faith to the following obligations and duties:

1. The Program. The Referral Program allows Participants to earn Diamonds to redeem for rewards by referring friends to become new users on the Platform. The Referral Program will be provided to you at no cost, but you must have a HITHOT account to participate. Participant must comply with these Terms, and the referred friend must register a new account with the Referral Code (defined below) on the Platform during the promotion (“Referral Code”) for the purpose of tracking the Referral under the Referral Program. period (to be determined for the specific program’s details, “Promotion Period”). HITHOT will provide Participant with a custom referral code.
2. Eligible Referral. A referral qualifies as an eligible Referral as long as the following conditions are met (a “Referral”):the Referral is not an already existing user on the Platform; the Referral creates a new account on the Platform through Participant’s Referral Code; the Referral must be a resident of the India ; the Referral must create a new account with Participant’s Referral Code during the Promotion Period; and the Referral cannot have the same IP address as any other user on the Platform (including the Participant), at the time Referral creates a new account
3. Rewards. For each Referral, HITHOT will award the Participant Diamonds as described on the specific program’s page on the Platform. Participant may redeem such Diamonds for certain INR (each, a “Reward”). Refer to the specific program’s page on the Platform for details on the Diamonds and Rewards. At the end of the Promotion Period, HITHOT will review activity on the Referral’s account, to verify that there has been no fraudulent activity. The distribution of the Diamonds may be delayed due to the review period, but the Diamonds will be delivered no later than 30 days after the Promotion Period.
4. Sharing Referral Codes. Referral Codes should not be published or distributed on commercial websites (such as coupon or deal websites or forums) or on blogs. Referral Codes may not be sold and should only be distributed free of charge for promotional purposes. Participants are prohibited from spamming others with referral invitations, including through mass emailing, texting, or messaging people you do not know with automated systems or bots through any channel. Participants are prohibited from paying to advertise their Referral Codes. Participants may not mislead or attempt to mislead anyone in connection with the Referral Program. A Referral may only use 1 referral code. If Referral receives multiple Referral Codes from Participants, only the last Referral Link will count towards the Referral

5. Reservation of Rig HITHOT reserves the right to any remedy, including cancelling Participant or Referral’s account, if fraud, tampering, technical errors, or violations of these Terms or the Terms of Service are suspected.

6. Termination and Updates to Terms. HITHOT may suspend or terminate the Referral Program, or Participant’s or Referral’s ability to participate in the Referral Program at any time in its sole discretion. Your participation in the Referral Program is completely voluntary. HITHOT may also modify or update the terms of the Referral Program or the Diamonds, or this Agreement at any time in its sole discretion. The modified or updated terms will be posted and effective upon posting, or otherwise as dated.

7. Parties’ Relationship. Your participation in the Referral Program does not imply any agency, representation, sponsorship, or endorsement between HITHOT and you.
8. HITHOT’s Promotional Activities. By participating in the Referral Program, you agree that HITHOT and our affiliates may display your username, account photo, and any other information regarding your activity or participation in the Referral Program. By participating in the Referral Program, you agree to allow HITHOT and our affiliates to display, publish, broadcast and use, worldwide, in any media and at any time, your name, picture, voice, and/or likeness for promotional, marketing or related purposes without additional compensation or consent.
9. You may receive promotional email communications from HITHOT from time to time. If you would like to unsubscribe from these promotional emails, find and click the unsubscribe button at the bottom of the promotional emails.
10. Any information about SingleMind Infotech , HITHOT , its affiliates, or its products, including the Platform and the Services, that is made available to you under this Referral Program, including but not limited to this Agreement, that is not otherwise publicly available is HITHOT’s confidential information (“Confidential Information”). You agree not to disclose HITHOT’s Confidential Information to any third party under any circumstance, unless approved in writing by SingleMind Infotech LPP or HITHOT.
11. Other than as expressly set out in this agreement, HITHOT does not make any promises or commitments about the referral program, service, or platform, such as the specific function of the referral program, or its reliability, availability, or ability to meet your needs. The platform and services are provided “as is”. To the extent permitted by law, HITHOT & SingleMind Infotech LLP excludes all warranties, express, statutory or implied. HITHOT expressly disclaims the warranties or conditions of noninfringement, merchantability, and fitness for a particular purpose.
12. Assig Creator will not assign, sell, transfer, delegate or otherwise dispose of, whether voluntarily or involuntarily, by operation of law or otherwise, this Agreement or any or its rights or obligations under this Agreement without HITHOT or SingleMind Infotech LLP prior written consent. HITHOT may freely assign this Agreement or any of its rights or obligations under this Agreement without the consent of Creator.
